1. Scope of Services

LOOP Solutions provides: website/app design & development, SEO services, hosting maintenance, online courses (Academy), and other digital services.

Details of each service are specified in the contract/quotes signed between both parties.

2. Intellectual Property

Customers may not copy, distribute or use LOOP source code for external commercial purposes.

• Custom website/app: owned by the customer after full payment
• Template website: customer has commercial usage rights, LOOP retains source code ownership
• Course content: owned by LOOP Solutions
• Internal tools: owned by LOOP Solutions

3. Payment

Late payment beyond 7 days: LOOP may suspend service. Late payment beyond 30 days: contract automatically terminates.

• Pre-built packages: 100% payment before implementation
• Custom projects: 50% on contract signing + 50% on delivery
• Academy courses: payment before content access

4. Warranty & Maintenance

Warranty does not cover: customer-caused errors, force majeure, scope change requests.

• Template websites: 12-month free warranty (LOOP technical errors)
• Custom projects: 6-month warranty
• Post-warranty maintenance: charged monthly per service package

5. Responsibilities

LOOP ensures on-time delivery and quality as committed in the contract.

Customers ensure timely provision of materials and feedback within 48 hours to avoid delays.

6. Termination

Customers may cancel anytime with 7 days notice. Payment for completed work is non-refundable.

LOOP may terminate if customer violates payment terms or provides illegal content.

7. Limitation of Liability

LOOP is not liable for: indirect damages, lost revenue, or lost profits due to customer delays.

LOOP's liability shall not exceed 100% of the relevant contract/service value.

8. Dispute Resolution

All disputes are resolved through negotiation within 30 days.

9. LP Terms

LOOP reserves the right to adjust LP exchange rates and policies without prior notice.

• LP (Learning Points) are internal reward points, not redeemable for cash
• LP can be used to discount services (up to 20% of invoice)
• Accumulated LP never expires
